Welcome to ShoCase. By accessing or using our platform, you agree to be bound by these Terms of Service. Please read them carefully.
1. Acceptance of Terms
By creating an account or using ShoCase, you agree to these Terms of Service, our Privacy Policy, and any additional terms that may apply. If you do not agree to these terms, please do not use our platform.
2. Description of Service
ShoCase is a platform that connects trading card collectors, dealers, and show promoters. Our services include:
- Show discovery and event listings
- Dealer profiles and inventory browsing
- Collector wish lists and notifications
- Dealer registration for shows, including payment of booth fees to promoters
- Show announcements from promoters to their dealers
- Messaging between users
- Reviews and reputation systems
3. User Accounts
Eligibility
You must be at least 13 years old to use ShoCase. You must be at least 18 years old, and able to enter into a binding contract, to register as a dealer or promoter or to make or receive payments through ShoCase.
Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Confirm your email address before signing in
- Maintain and update your information as needed
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
Account Types
ShoCase offers different account types:
- Collectors: Browse shows, follow dealers, create wish lists
- Dealers: List inventory, register for shows, build a following
- Promoters: Create and manage shows, approve dealer registrations
4. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Post false, misleading, or fraudulent content
- Harass, abuse, or threaten other users
- Use the platform for any illegal purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the platform
- Create multiple accounts for deceptive purposes
- Scrape or collect user data without permission
- Post counterfeit items or misrepresent product authenticity
5. Content and Listings
Your Content
You retain ownership of the content you post on ShoCase — including dealer profile information, inventory listings, photographs, show details, promoter materials, reviews, and messages (collectively, "User Content").
By posting User Content, you grant ShoCase a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, and create derivative works of such User Content for the purposes of:
- Operating, providing, and improving the ShoCase platform and services;
- Promoting and marketing the ShoCase platform and its features across our owned channels (including the ShoCase landing page, blog, and social media accounts), partner channels, advertising, press materials, investor communications, and other promotional surfaces;
- Creating illustrative examples and demonstrations of the platform for prospective users, partners, investors, and the public.
This promotional license includes the right to display thumbnail or reduced-size versions of your photographs and listings alongside attribution to your profile. We may also feature specific dealers, promoters, or shows in marketing materials with their prior consent.
You represent and warrant that you own or have all necessary rights and permissions to grant the licenses above for all User Content you submit, including any depicted products, trademarks, photographs, signatures, names, likenesses, or other third-party materials.
You may revoke the promotional license for specific User Content at any time by contacting us. We will remove the relevant content from active marketing materials within 30 days of receiving your request. Removal does not affect prior good-faith uses (for example, previously distributed press materials or printed collateral).
Show Listings From Public Information
To make the show directory useful, ShoCase lists card shows using publicly available event information, and accepts show suggestions from users. A listing that has not been claimed by its organizer is provided for information only: ShoCase does not represent the organizer and does not guarantee that the details are current. If you organize a listed show, you can claim the listing to manage it, or contact us to have it corrected or removed.
Listing Accuracy
Dealers and promoters agree to:
- Provide accurate descriptions of items and events
- Use authentic images of actual inventory
- Update listings to reflect current availability
- Honor prices and terms displayed on the platform
Prohibited Content
You may not post content that:
- Is illegal, harmful, or offensive
- Infringes intellectual property rights
- Contains malware or malicious code
- Is spam or unauthorized advertising
- Violates the privacy of others
6. Transactions Between Users
Platform Role
ShoCase is a platform that facilitates connections between collectors, dealers, and promoters. ShoCase does not buy, sell, grade, authenticate, or take possession of any item, and does not process the sale of items between users. Purchases and sales of items are solely between the participating users. ShoCase also does not organize, host, or operate any show listed on the platform; each show is the responsibility of its promoter.
No Guarantee
We do not guarantee the quality, safety, or legality of items listed, the accuracy of listings, that a show will take place as described, or the ability of users to complete transactions. Users transact at their own risk.
Disputes
Users are responsible for resolving disputes directly with each other. While we may provide tools to facilitate communication, we are not obligated to mediate or resolve disputes.
7. Booth Fees, Payments, and Refunds
How Booth Fees Work
A promoter may require dealers to pay a booth fee through ShoCase when registering for a show. The booth fee is set by the promoter and is owed to the promoter. The agreement for booth space — including what the dealer receives, and the promoter's cancellation and refund policy — is between the dealer and the promoter. ShoCase is not a party to it. ShoCase's role is limited to providing the registration tools and arranging for the payment to be collected and passed to the promoter.
Payment Processing by Stripe
Payments on ShoCase are processed by Stripe. ShoCase does not hold your funds and does not store your card or bank details. Payment processing services for promoters on ShoCase are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Terms"). By accepting booth fees through ShoCase, you agree to be bound by the Stripe Terms, as Stripe may modify them from time to time. As a condition of ShoCase enabling payments through Stripe, you agree to provide ShoCase and Stripe accurate and complete information about you and your business, and you authorize ShoCase to share it, along with transaction information related to your use of the payment services, with Stripe.
A promoter cannot accept booth fees until Stripe has verified the promoter's payout account. Payout timing is controlled by Stripe and the promoter's bank, not by ShoCase.
Platform Fees
ShoCase is currently free to use. If ShoCase charges a platform fee on booth-fee payments in the future, the fee will be deducted from the amount passed to the promoter, and we will tell promoters what the fee is before it applies to their shows. Stripe's own processing fees, where they apply, are described by Stripe.
Cancellations and Refunds
- Whether a booth fee is refundable is decided by the promoter. Promoters agree to state their refund policy clearly and to honor it.
- A dealer who needs to cancel a paid registration requests the cancellation through ShoCase. When the promoter approves the refund, it is returned to the dealer's original payment method. Banks typically take 5–10 business days to show a refund.
- If a promoter cancels a show, the promoter is responsible for refunding the booth fees collected for it.
- ShoCase may cancel a payment or issue a refund itself where we reasonably believe there has been fraud, an error, or a show that will not take place.
- Promoters are responsible for chargebacks and payment disputes relating to their booth fees, including any amounts and dispute fees Stripe recovers as a result. ShoCase may recover those amounts from the promoter's future payouts.
Taxes
You are responsible for determining, collecting, reporting, and paying any taxes that apply to the payments you make or receive. Stripe may be required to report payments to tax authorities and to send tax forms to promoters.
SMS Credits and Other Paid Features
Promoters may purchase prepaid SMS credits to send text messages through ShoCase. Credits have no cash value, cannot be transferred, and are non-refundable except where the law requires otherwise. Other features may require payment in the future. By using a paid feature, you agree to pay the fees shown to you before you buy. We will give at least 30 days' notice before changing our fees.
8. Emails, Text Messages, and Broadcasts
Messages From ShoCase
By creating an account, you agree to receive emails that are necessary to operate it, such as email confirmation, password resets, payment receipts, and notices about shows you are registered for. You can choose which other notifications you receive in your account settings.
We send text messages only to mobile numbers you have verified, and — apart from the verification code itself — only if you have turned text notifications on. You can turn them off in your settings at any time, or reply STOP to any message. Message and data rates may apply. Message frequency varies.
Promoter Broadcasts and Invitations
Promoters who send broadcasts or invitations through ShoCase agree to:
- Send only messages that relate to their own shows
- Invite only dealers they have a genuine reason to contact, and not upload purchased or scraped contact lists
- Comply with the laws that apply to their messages, including the CAN-SPAM Act and the Telephone Consumer Protection Act in the United States and Canada's Anti-Spam Legislation
- Respect every opt-out. ShoCase will not deliver invitations to an address that has opted out, or texts to a user who has turned them off.
The promoter, not ShoCase, is the sender of a broadcast or invitation and is responsible for its content.
9. Intellectual Property
The ShoCase name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ShoCase. You may not use these marks without our prior written permission. All other names, logos, and marks are property of their respective owners.
10. Disclaimer of Warranties
SHOCASE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOCASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.
12. Indemnification
You agree to indemnify and hold harmless ShoCase, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the platform, your violation of these terms, or your violation of any rights of another.
13. Termination
We may suspend or terminate your account at any time for any reason, including violation of these terms. You may close your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately. Closing an account does not cancel payment obligations that already exist, including refunds a promoter owes for a canceled show.
14. Changes to Terms
We may modify these terms at any time. We will post the updated terms and update the "Last updated" date, and for material changes we will also notify you by email or with a notice on ShoCase before they take effect. Your continued use of the platform after changes constitutes acceptance of the new terms.
15. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
